GENERAL TERMS AND CONDITIONS FOR ONLINE PURCHASES BETWEEN KNOWTRANSFER AND COMPANIES (B2B)

These General Terms and Conditions regulate the use of the website located at https://knowtransfer.com by its users. By using the website, users agree to these Terms and Conditions. This document can be printed and stored by the users.

KNOWTRANSFER SL provides an email address, as indicated in the Legal Notice on the website and in this document, for users to address any questions regarding the Terms and Conditions. 1. Applicable legislation

These General Terms and Conditions are governed by Spanish law, including but not limited to Law 7/1998 of April 13, regulating General Terms and Conditions of Contracting, Royal Legislative Decree 1/2007 of November 16, which approves the consolidated text of the General Law for the Defense of Consumers and Users, as well as other related laws, Organic Law 8/2018 of December 5, on Personal Data Protection and the Guarantee of Digital Rights, Law 7/1996 of January 15, on the Organization of Retail Trade, and Law 34/2002 of July 11, on Information Society Services and Electronic Commerce.

2. Terms, acknowledgment, acceptance, and modifications. Pre-Contractual information

These Terms define the rights and obligations of the parties involved: KNOWTRANSFER SL and the USER of the Website.

The USER acknowledges and accepts these Terms, agreeing that they represent the entire agreement between them and KNOWTRANSFER SL, with no need for any additional written documentation. Each clause is independent and stands alone. KNOWTRANSFER SL reserves the right to modify these Terms at any time, without prior notice, including the addition, removal, or modification of content and services. The USER’s continued use of the website implies acceptance of these Terms as they are, each time they use the service.

Before proceeding with any purchase, and throughout the purchasing process, the Customer will have access to, and may print or save, these General Terms and Conditions for future reference.

All personal information provided by the Customer when using this website will be handled in accordance with KNOWTRANSFER SL’s Privacy Policy and in compliance with applicable laws, as outlined in these Purchase Terms and in line with the preferences the Customer selected when accepting these Terms. The Customer confirms that all the information provided is accurate and truthful. Failure to provide the required information will prevent the order from being processed. The Customer agrees not to place any fraudulent or false orders. In such cases, KNOWTRANSFER SL reserves the right to cancel the order and take any necessary actions. The Customer affirms that they are over 18 years old and have the legal capacity necessary to enter into binding financial contracts. In the case of legal entities, individuals acting on behalf of the entity through this website guarantee that they have the proper legal authority to represent the entity at the time of the transaction. They also guarantee that the transaction does not violate any third-party rights and that the information provided about the legal entity is truthful, accurate, and reliable. KNOWTRANSFER SL will not be held liable for any damages, losses, or injuries to persons or property arising from or related to the above declarations.

3. Products

The Customer acknowledges that all products sold by KNOWTRANSFER SL are intended for domestic use and have undergone testing in accordance with applicable standards and regulations. However, some items in the product range have been tested for professional or public use and meet the necessary safety, durability, and stability requirements for those specific applications. KNOWTRANSFER SL’s warranties for its products are generally based on their intended domestic use. Before purchasing any item, the Customer must ensure that it is suitable for the intended purpose. KNOWTRANSFER SL will not be held liable for any claims arising from the use of a product for any purpose other than its intended use.

4. Online services. Product delivery

On our website, USERS can find various delivery options. Product pages include all necessary details regarding the size and volume of our items.

KNOWTRANSFER SL operates as a dropshipping marketplace, which means we act as an intermediary between you and third-party suppliers. When you place an order through our website, we coordinate with our suppliers to ship the Products directly to you. While we carefully select our suppliers and strive to ensure the quality of the Products offered on our Marketplace, KNOWTRANSFER SL is not directly responsible for the manufacturing, quality control, or safety of these Products. The Customer acknowledges that delivery times may vary due to the nature of dropshipping and the reliance on third-party suppliers. KNOWTRANSFER SL will make every effort to ensure timely delivery and to address any issues that may arise during the fulfillment process.

The product will be delivered by courier directly to the address provided by the customer. If the customer is not home, the product will be left at the building’s reception desk, if applicable. This delivery policy also applies to returns.

If, upon receiving the product, the CUSTOMER notices any damage, such as dents, breaks, signs of tampering, or any other defects, they must immediately contact KNOWTRANSFER SL via email at info@knowtransfer.comor through any other communication channels available on our website (https://knowtransfer.com). The notification should include the reason for the issue, the invoice number, and, if possible, the delivery receipt. This will help us inform the delivery company about the problem. If the shipment is returned to KNOWTRANSFER SL due to an error on the CUSTOMER’s part, such as providing an incorrect address or failing to pick up the package, the shipping costs incurred will not be refunded.

4.1. Shipping conditions

We will handle all deliveries through a professional courier service. Once we confirm your order, you can expect delivery within a maximum of 5 business days.

Typically, deliveries from KNOWTRANSFER SL are completed within 3 to 5 days after the order is finalized.

These delivery times are estimates and may vary due to logistical issues or unforeseen circumstances. If any delays occur, KNOWTRANSFER SL will notify you as soon as we are informed. A delivery is considered completed once the courier service makes the product available to the Customer, as confirmed by the tracking system used by the delivery company. If the delay is due to an issue on our side, the Customer has the option to cancel their order, as outlined in the "Returns" section. Delays caused by circumstances where the courier has made the product available within the agreed timeframe but could not deliver it due to a mistake by the Customer are not considered delays.

Once the order leaves our warehouse, you will receive an email confirming that your order is on its way.

Please note that if you wish to cancel the order after it has been dispatched, the shipping costs will not be refunded.

KNOWTRANSFER SL will not be held responsible for delays caused by force majeure events (such as strikes or natural disasters) that may impact delivery timelines.

5. Price and payment. Invoicing

The prices of products listed on our website are exclusive of VAT and reflect the current rates at the time of purchase, including any applicable promotions or discounts.

Service fees are not included in the product price and will be added to the total amount before payment is processed. Upon order confirmation, the Customer will receive an electronic invoice via email, detailing the products and services purchased.

- Credit card

This payment method is subject to verification and authorisation by the issuing entity, but if said entity does not authorise the payment, the purchase procedure cannot be continued, the order will be automatically cancelled, and the sale of the requested product or products will be considered not to have taken place. When placing an order with a credit or debit card, the CUSTOMER must check that the charge has been made to their card.

All data provided to KNOWTRANSFER is encrypted to ensure maximum security. It is hosted on a secure server certified according to the ‘Secure Socket Layer’ protocol. Under no circumstances will the data provided by CUSTOMERS through the payment gateway be stored, and it will only be kept while the purchase is being made, the payment is being processed and until the withdrawal period has elapsed.

- Bank transfer

The CUSTOMER may only use bank transfer in cases where KNOWTRANSFER expressly authorises the use of this payment method.

In such cases, KNOWTRANSFER will provide its IBAN so that the CUSTOMER can make the payment within 2 days.

In any case, the CUSTOMER shall bear any transfer costs resulting from the transaction.

6. Cancellation, withdrawal, and returns

6.1. Right of withdrawal

Upon receipt of the goods, the Customer, if considered a consumer, has 14 calendar days from the delivery of the last product in a single order to exercise their right of withdrawal, either partially or in full. In the event of withdrawal, whether in full or in part, KNOWTRANSFER SL will refund the Customer using the same payment method initially used for the purchase. This will cover the amount paid for the returned goods and any contracted services (such as collection or delivery services), with the refund being proportional to the quantity of goods returned. The refund will be processed within a maximum of three business days from the moment KNOWTRANSFER SL receives the returned goods.

To exercise the right of withdrawal, the Customer must contact KNOWTRANSFER SL within the given time frame by sending an email to info@knowtransfer.com, requesting a withdrawal form, which the Customer may choose to use or not. Alternatively, the Customer may submit the withdrawal form via email to info@knowtransfer.com

If the Customer opts for KNOWTRANSFER SL to collect the items, the return costs will be the responsibility of the Customer. These costs will be deducted from the total refund amount. In such cases, the full price will be refunded using the same payment method as the original transaction. Partial cancellations are not accepted. The Customer must cancel the entire order and place a new one. After this period, KNOWTRANSFER SL cannot guarantee that the order has not already left our warehouse. If that is the case, the transportation costs previously paid will be deducted from the refund.

6.2. Returns

At KNOWTRANSFER SL, we are confident that you will be satisfied with your purchase. However, if for any reason you are not, we accept returns within 30 calendar days of receiving your order. Please note that the Customer will be responsible for covering the return shipping costs. The item must be returned in its original condition, including the packaging, contents, and any accessories, all of which must be in perfect condition, along with the original invoice. We cannot accept returns if the packaging has been tampered with or if the product and/or its accessories are damaged.

6.3. Cancellations

The customer may cancel orders for standard catalog products at any time before the selection or packaging for shipment. KNOWTRANSFER SL reserves the right to refuse cancellations for customized products, out-of-stock items, or non-inventoried products. In such cases, cancellation may incur additional fees. If you wish to cancel an order, please contact our customer service representative.

7. Legal warranty

KNOWTRANSFER SL is fully committed to complying with all relevant laws, particularly those related to consumer protection. Therefore, the CLIENT is informed that, as required by law, KNOWTRANSFER SL guarantees its products for a period of 6 months

Within this period, the CLIENT has the right to report any issues of non-compliance with the product, specifying the reason for their dissatisfaction. A common example of non-compliance would be a defect in the product. Once the non-compliance is confirmed and addressed in line with these policies and the applicable regulations, KNOWTRANSFER SL will take the appropriate actions based on the circumstances. Non-compliance resulting from improper use, incorrect installation, or any other issues caused directly or indirectly by the CLIENT, or by external factors beyond the company’s control, will not be covered by this warranty.

9. Website usage terms

The USER agrees to use this website, including its content and services, in accordance with the terms of use and the Legal Notice. The USER further agrees not to engage in any activity that contravenes applicable laws, public order, or ethical standards. Additionally, the USER is committed to refraining from actions that could disrupt the website’s functionality, extract unauthorized information, or attempt to access internal databases.

The USER specifically agrees not to destroy, alter, disable, or in any way damage the data, programs, or electronic documents available on the KNOWTRANSFER SL website.

Furthermore, the USER will not use the KNOWTRANSFER SL website to:

Any legal matters involving KNOWTRANSFER SL will be governed by Spanish law, with the courts and tribunals of the jurisdiction where KNOWTRANSFER SL’s headquarters are located having exclusive competence.

11. Copyright, intellectual property, and advertising

KNOWTRANSFER SL respects the intellectual and industrial property rights of third parties.

It is strictly prohibited to reproduce, copy, publicly communicate, distribute, or modify elements of this website or infringe upon rights protected by law, unless authorized by the rightful owner of such rights. 3. Conduct quality surveys about the services provided.

4. Analyse the data internally and prepare studies, reports and statistics to see how we can improve our services, products and website for internal purposes only.

o KNOWTRANSFER will transfer your data:

1. To comply with legal obligations; KNOWTRANSFER SL will process your personal data to comply with the legal obligations that are required at any given time and arise from this contract.

2. In order to deliver the products you have purchased and provide you with the contracted services, KNOWTRANSFER SL will communicate your data and allow access to your personal data to the transport, delivery and assembly service providers with whom it works.

The CUSTOMER acknowledges that all products sold by KNOWTRANSFER are intended for research use and have been tested in accordance with the relevant regulations and standards. This means that the CUSTOMER is responsible for:

a. Using the products in accordance with the technical specifications and instructions provided.

However, some products have been tested for professional or public use and meet the safety, durability and stability requirements established by the technical standards applicable to such uses.

The guarantees offered by KNOWTRANSFER with respect to all its products are generally conditional upon their use for research purposes. In any case, prior to purchasing a KNOWTRANSFER item, the CUSTOMER must ensure that it is suitable for the intended use.

KNOWTRANSFER is not liable for any claims arising from use other than that for which the item in question is designed

7. Online services. Product delivery.

On our website, the CUSTOMER will find various delivery options. The product page contains all the details regarding the measurements and volume of our items.

The item will be delivered by courier to the door of the address indicated by the CUSTOMER. In case of absence, the item will be delivered to the building's reception, if there is one.

This policy also applies to returns.

If, after checking the product, the CUSTOMER detects any incident or anomaly such as a knock, breakage, signs of having been opened or any other damage, they must notify KNOWTRANSFER by email at info@knowtransfer.comor through any of the channels provided on the website (https://knowtransfer.com), as soon as possible, detailing the reason for the incident and the invoice number and, if available, attaching the delivery note for the goods, so that we can notify the transport company of any incident.

If the order is returned by the transport company to KNOWTRANSFER due to negligence on the part of the CUSTOMER, such as not specifying the delivery address correctly or not collecting the order, the costs corresponding to the shipping already incurred will not be refunded.

7.2. Shipping conditions.

We will ship your order via courier service. Your order will be delivered within a maximum of 5 working days from the date we confirm your order. However, KNOWTRANSFER's usual delivery time is between 3 and 5 working days from the date the order is completed.

These delivery times are averages and therefore estimates. They may vary due to logistical reasons or force majeure. In the event of delivery delays, KNOWTRANSFER will inform its CUSTOMERS as soon as it becomes aware of them.

Each delivery is considered to have been made from the moment the transport company makes the product available to the CUSTOMER, which is materialised through the control system used by the transport company.

In the event of delays in the delivery of orders attributable to KNOWTRANSFER, the CUSTOMER may cancel their order in accordance with the procedure described in the ‘Returns’ section. Delays in delivery shall not be considered in cases where the order has been made available to the CUSTOMER by the transport company within the agreed period and has not been delivered for reasons attributable to the CUSTOMER.

Once the order leaves our warehouses, you will receive an email notifying you that your order has been accepted and is being shipped.

If the CUSTOMER wishes to cancel the order and it has already left our facilities, the shipping costs will not be refunded.

KNOWTRANSFER is not responsible for causes of force majeure (e.g. strikes, natural disasters) that may result in a delay in the delivery of the product.

8. Price and payment. Invoicing.

The prices of the products listed on the website do not include VAT and are current at all times, including any applicable promotions.

The prices of the products do not include service charges, which will be added to the total amount before payment is made.

The CUSTOMER will receive their invoice, in digital format, by email at the time of purchase confirmation, for the purchase of the products and services contracted.

KNOWTRANSFER SL is not responsible for the lack of accuracy of the data provided by the CUSTOMER at the time of placing the order, nor in particular for any damage caused to third parties by the CUSTOMER's unlawful use of means of payment.

8.1 The CUSTOMER may use the following methods of payment

- Credit card

- Bank transfer

The CUSTOMER may only use bank transfer in cases where KNOWTRANSFER expressly authorises the use of this payment method.

In such cases, KNOWTRANSFER will provide its IBAN so that the CUSTOMER can make the payment within 2 days.

In any case, the CUSTOMER shall bear any transfer costs resulting from the transaction.

9. Withdrawal, returns and cancellations

9.1. Withdrawal

Once the product has been received, the CUSTOMER, if they are a consumer, will have 14 calendar days from the receipt of the last of the products purchased in the same order to exercise their right of withdrawal, either partially or totally.

In the event of total or partial withdrawal, KNOWTRANSFER will refund the CUSTOMER, using the same method used to pay, the payments received for the returned goods and for the services contracted (collection or transport), which, where applicable, will be proportional to the amount of goods returned, within a maximum period of three working days from the date on which KNOWTRANSFER received the returned goods.

To exercise the right of withdrawal, the CUSTOMER must contact info@knowtransfer.comwithin this period and request a withdrawal document, which the CUSTOMER may or may not use for this purpose. The CUSTOMER may also send the withdrawal form to KNOWTRANSFER by email to: info@knowtransfer.com

If the CUSTOMER chooses to have the products collected by KNOWTRANSFER, the costs of the return shall be borne by the CUSTOMER. Service costs. This cost shall be offset against the total amounts to be refunded to the CUSTOMER.

KNOWTRANSFER will provide the CUSTOMER with a link in the order confirmation email that will allow the order to be cancelled. The order may be cancelled within 1 hour of placing it, provided that it is cancelled more than 48 hours before the delivery date. In this case, KNOWTRANSFER will refund the full amount of the purchase, including shipping costs.

In such cases, the total price will be refunded using the same payment method used to pay for the order within a maximum of three working days from the date of notification of cancellation. Partial cancellations of orders will not be accepted. In this case, the CUSTOMER must cancel the order in its entirety and place a new order.

After this period, KNOWTRANSFER cannot guarantee that the order has not left our premises. If this is the case, the previously paid transport costs for the goods will be deducted from the refund.

9.2. Returns

At KNOWTRANSFER, we are confident that the CUSTOMER will be satisfied with their purchase. However, we offer you the option of exchanging a product you are not satisfied with for another of equal value within 30 calendar days, or, if it is of a higher value, paying the difference. This period begins on the date of receipt of the package.

The shipping costs for the exchange will be borne by the CUSTOMER.

The product must be returned in its original condition and it is essential that both the packaging and the contents, as well as any accessories, are in perfect condition, together with the invoice. KNOWTRANSFER will not be able to accept the exchange request if the packaging has been tampered with or the product and/or its accessories are damaged.

9.3. Cancellations.

The CUSTOMER may cancel orders for standard products from the catalogue at any time prior to selection or packaging for shipment. KNOWTRANSFER may refuse to cancel customised products, non-catalogue products and non-stocked products, or alternatively, this may be subject to cancellation fees. If you wish to cancel an order, please contact your CUSTOMER service representative.

10. Legal warranty

The warranty for products purchased for the development of a business or professional activity shall be regulated in accordance with the provisions of the Commercial Code and the Civil Code.

Likewise, as provided for in Article 97 of Royal Decree 1/2007, of 16 November, of the General Law for the Protection of Consumers and CUSTOMERS, CUSTOMERS and potential CUSTOMERS are reminded of the existence of a legal guarantee by the entrepreneur on the products, the conditions of which are set out in Articles 118 et seq. of the aforementioned regulation.

KNOWTRANSFER SL expresses its desire to comply with the regulations that apply to it, in particular consumer and user regulations. Therefore, the CUSTOMER is informed that KNOWTRANSFER SL, by legal obligation, guarantees its products for a period of 3 years.

During this period, the CUSTOMER may report the non-conformity of the purchased product, stating in all cases the reason for their dissatisfaction. An example of non-conformity would be a defective product.

Once the non-conformity has been proven and remedied in accordance with these policies and applicable regulations, KNOWTRANSFER SL will proceed according to the circumstances.

Non-conformities caused by the CUSTOMER's misuse or use of the products and services, by their incorrect installation or assembly, and by any other non-conformity caused directly or indirectly by causes attributable to the CUSTOMER or beyond the control of the business owner.

10.1 Replacement and repair

If the lack of conformity is proven, the CUSTOMER may choose between replacement or repair of the product. However, as KNOWTRANSFER does not have its own repair service, if the consumer chooses this option, KNOWTRANSFER will refer the CUSTOMER to the manufacturer's and/or importer's repair service.

If the manufacturer or importer does not have this service or its use would entail an excessive cost for the CUSTOMER, the non-compliant product will be replaced with a new one. In any case, KNOWTRANSFER may opt to replace the product if the repair entails a disproportionate cost.

The replacement of the non-compliant product will be made with another one identical to the one initially purchased. If these products are out of stock, KNOWTRANSFER will offer the CUSTOMER the possibility of replacing it with another of the same nature and characteristics, provided that it has the same price as the one originally purchased by the CUSTOMER.

KNOWTRANSFER will cover the shipping and transport costs for replacing or repairing the product. The CUSTOMER will receive a new or repaired product at no cost.

10.2 Process for requesting the compliance of goods

Once the CUSTOMER has verified the non-conformity of their goods, they must immediately contact KNOWTRANSFER SL at the following email address: info@knowtransfer.com.

In this communication, they must provide KNOWTRANSFER with the following information, which must be accurate and up to date:

- Name, surname(s) and ID number of the person placing the order

- Order identification (identifying the product purchased, date and, if possible, any supporting documentation)

- Reason or cause for dissatisfaction with the product (e.g. it is defective), providing as much detail as possible

- Whether you prefer a replacement or repair

- Address for placing the order

- Date of purchase of the product

The CUSTOMER must provide evidence of the product's non-conformity and clarify any facts or circumstances that KNOWTRANSFER considers essential in order to determine whether or not the warranty rights should be granted.

In any case, KNOWTRANSFER may make as many communications as it deems appropriate to ascertain whatever data and facts it requires to respond to your request. KNOWTRANSFER undertakes to do so as quickly as possible and within a reasonable period of time.

Once all of the above has been verified, KNOWTRANSFER will inform the CUSTOMER whether or not the warranty is valid. It will also indicate whether the product will be repaired or replaced, depending on the circumstances.

KNOWTRANSFER SL will then collect the product and send the new or repaired product at no cost to the CUSTOMER.

11. Requesting Contact

The CUSTOMER may contact KNOWTRANSFER, SL by clicking on CONTACT at the bottom of the web platform. There, they can enter the question they wish to ask, along with their email address, so that KNOWTRANSFER, SL can respond and contact the CUSTOMER in order to resolve their queries or provide them with information.

12. Use of the website

The CUSTOMER undertakes to use this website, its contents and services in accordance with the rules of use and the Legal Notice, and not to engage in activities that are contrary to the law, morality or public order. The CUSTOMER also undertakes not to carry out actions that affect the display, extract information or attempt to access internal databases.

The CUSTOMER expressly undertakes not to destroy, alter, disable or in any way damage the data, programmes or electronic documents and other items found on the KNOWTRANSFER SL website. Nor shall they use the KNOWTRANSFER SL website to:

a) Interfere or attempt to interfere with the functionality of the KNOWTRANSFER SL websites.

b) Obtain or attempt unauthorised access.

c) Introduce programmes, viruses or any other logical device or sequence of characters that cause or may cause any alteration to the computer systems of KNOWTRANSFER SL or third parties.

KNOWTRANSFER SL reserves the right to deny the CUSTOMER access if they carry out any of the above activities and to take appropriate legal action.

13. Disputes

In the event of a dispute, the CUSTOMER shall first contact KNOWTRANSFER SL to seek an amicable solution. Any dispute involving KNOWTRANSFER SL shall be governed by Spanish law, and the Courts and Tribunals of the domicile of KNOWTRANSFER SL in Spain shall have jurisdiction.

14. Copyright, intellectual property and advertising

KNOWTRANSFER SL respects the industrial and intellectual property rights of third parties.

It is prohibited to reproduce, copy, publicly communicate, distribute or modify elements of these web pages or violate rights that are subject to protection unless authorised by the owner of the rights. The total or partial reproduction of the content on the KNOWTRANSFER SL websites is prohibited.

The content provided by this website is subject to intellectual and industrial property rights and is the exclusive property of KNOWTRANSFER SL or the individuals or legal entities that may be indicated.

Intellectual property extends not only to the content included on https://knowtransfer.com, but also to its graphics, logos, design, images, databases, database content and source code used for its programming.

15. Modification of these general terms and conditions

These General Terms and Conditions may be modified by KNOWTRANSFER SL at any time and without prior notice in order to adapt them to changes in regulations or in our services, or for any other reason. It is therefore necessary that you review them regularly and, in any case, prior to making a remote purchase from KNOWTRANSFER SL

KNOWTRANSFER SL will publish the new General Terms and Conditions to replace the current ones on the KNOWTRANSFER SL website itself, so that they can be read and reviewed by the CUSTOMER at any time. The CUSTOMER accepts that the General Terms and Conditions (and Website Terms and Conditions, Privacy Policy and Cookies Policy) available on this website at any given time shall apply, and that acceptance of these terms and conditions is always a prerequisite for making a remote purchase from KNOWTRANSFER SL

KNOWTRANSFER SL excludes any liability for damages of any kind arising from the exercise of this power.
